Introduction

Although research agreements define the roles of industry and academic, most universities do not require a research agreement to conduct industry-sponsored research. Most require only a payment schedule, and for clinical research, an indemnification by the company for any risks to the university. Most industrial sponsors, however, require detailed, legally binding research agreements between the university and the sponsor. Although sponsors' agreements are written to protect the interest of the company, many sponsors are willing to compromise on issues important to the university. Care must be taken so that research agreements with industry do not result in:

  • Less than full reimbursement for research performed.
  • Violation of academic freedom, including the right to publish research results.
  • Loss of university intellectual property or royalties on such property.
  • Violation of state or federal laws or regulations or university policies.
